1. Your relationship with iPanel

1.1 These Terms apply to the legal agreement between you and iPanel

1.2 You are obliged to confirm that the questionnaire does not contain any violation of the following terms;

(1) violating the basic principles defined in the Constitution;

(2) endangering national unity, sovereignty and territorial integrity;

(3) stealing, spying on, buying or divulging state secrets or intelligence, endangering State security or harming State interests;

(4) violating the state policy on religion and undermining ethnic unity;

(5) disrupting social and economic order, undermining social stability and harming the public interest;

(6) propagating cults or superstitions;

(7) engaging in fraudulent activities that infringe upon the legitimate rights and interests of others;

(8) Other circumstances identified by laws, regulations, rules and relevant state provisions

1.3 You agree to be liable for any consequences (including any loss or damage suffered by iPanel) arising from your breach of this Section (iPanel shall not be liable to you or any third party).

2. Accept the Terms

2.1 The use of iPanel's services must first agree to these terms. If you do not accept these Terms, you may not use the Service.

2.2 You may not use the Services and will not accept these Terms if:

3. iPanel provides services

7. Exclusive rights

7.1 You acknowledge and agree that iPanel (or iPanel's licensors) owns all legal right, title and interest in the Services, including any intellectual property rights that exist in the Services (whether or not such rights are registered and wherever in the world such rights may exist). You further acknowledge that the Services may include information that iPanel has designated as confidential and that you may not disclose such information without iPanel's prior written consent.

7.2 Unless you and iPanel agree otherwise in writing, nothing in these Terms gives you the right to use any of iPanel's Copyrights, trademarks, service marks, logos, domain names and other distinctive brand features.

7.3 Unless you have been expressly authorized to do so by iPanel in writing, you agree that in using the Services, you will not use, or intentionally use, any trademark, service mark, trade name or logo of any company or organization in a manner that confuses the owner or authorized user of such trademark, name or logo.

8. iPanel license

8.1 You may not (and you may not allow any other person to) copy, modify, or create derivative works of, reverse engineer, de-edit, or attempt to extract source code from the Software or any part of the Software, except as expressly permitted or required by law or as specifically informed to you in writing by iPanel.

8.2 You may not assign your right to use the Software (or grant a sub-licence to use the Software), create a security interest in your right to use the Software, or otherwise assign any part of your right to use the Software, unless iPanel has given you express written permission to do so.

9. Terminate your relationship with iPanel

9.1 These Terms will continue to apply until terminated by you or iPanel as set out below.

9.2 If you wish to terminate your legal agreement with iPanel, you may do so by:

(a) notify iPanel at any time.

Close your account for all the services you use when iPanel gives you a choice. Your notice shall be sent in writing to the iPanel address specified at the beginning of these Terms.

(3) In the member system center of iPanel, there is the function of cancelling accounts, you have the right to cancel accounts at any time.

9.3 iPanel may terminate its legal agreement with you if:

(a) you violate any provision of these Terms (or conduct yourself in a manner that clearly indicates that you do not intend or cannot comply with the provisions of these Terms);

(b) the law requires iPanel to do so (for example, it is illegal or becomes illegal to provide the service to you);

(c) iPanel changes to no longer provide services to users in the country where you live or where you use the Services from;

(d) iPanel considers that it is no longer commercially viable to provide the services to you.

9.4 Nothing in this section shall affect iPanel's rights in relation to the provision of services under Article 4.

10. Limitation of liability

10.1 You expressly understand and agree that iPanel and its licensors shall not be liable to you for:

(a) Any direct, indirect, incidental, special, consequential or punitive damages incurred by you for whatever reason and under any theory of liability. This shall include, but is not limited to, any loss of profit (whether directly or indirectly incurred), any loss of goodwill or business reputation, any loss of data, purchase costs of substitute goods or services or other intangible losses;

(b) any loss or damage you may incur, including but not limited to loss or damage caused by:

(I) changes that iPanel may make to the Services, or permanent or temporary discontinuance of the provision of the Services (or any function in the Services);

(II) You do not provide accurate account information to iPanel;

(III) you do not keep your password or account information secure and confidential;

11. Changes to the Terms

11.1 iPanel may change the General Terms or additional Terms from time to time.

11.2 You understand and agree that if you use the Services after the date on which the General Terms or Additional Terms have changed, iPanel will treat your use as acceptance of the updated General Terms or Additional Terms.

12. General legal provisions

12.1 These Terms constitute the entire legal agreement between you and iPanel with respect to your use of the Services (but excluding any services provided to you by iPanel pursuant to a separate written agreement) and completely supersede any prior agreement between you and iPanel with respect to the Services.

12.2 You agree that the failure of iPanel to exercise or enforce any statutory right or remedy contained in these Terms (or to which iPanel is entitled under any applicable law) shall not be deemed a formal waiver of iPanel's rights, which shall remain in effect with iPanel.

12.3 If any provision of these Terms is found to be invalid by any court having jurisdiction over such matters, such provision will be deleted from these Terms without affecting the rest of these Terms. The remainder of these Terms shall continue to be valid and enforceable.
